Company formation facts:

• Only one individual is needed to form a company – unlike a partnership.

• If you are forming a public company and there is going to be a constitution written up that differs to the standard ASIC constitution, you must lodge a copy of your version on application.

• Once, and if, ASIC approves your company for operations, you will receive a certificate of registration. You will also receive an Australian Company number (ACN).

• On commencement of your company, you will have to obviously raise capital via the issuing of shares, debentures, etc. A prospectus must be made available to all prospective investors – a prospectus is a type of disclosure document that informs people about the financial standing of a company. This will allow investors to make informed decisions.
